1. Acceptance of Terms

By accessing or using Todo-MCP ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all terms and conditions, you may not use the Service.

2. Description of Service

Todo-MCP is a task management tool designed to integrate with AI coding assistants including Claude Code and Codex. The Service provides:

• A command-line interface (CLI) for task management
• MCP (Model Context Protocol) server integration
• Local SQLite database for task storage
• License validation services

3. Subscription and Payment

Pricing: The Service is offered at $20 USD per month, billed either monthly or annually ($240/year).

Billing: Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date.

License Validation: The software validates your subscription status periodically. If your subscription is inactive, the software functionality will be disabled until payment is restored.

4. Refund Policy

We offer a 30-day money-back guarantee for new subscribers. To request a refund:

• Contact our support team within 30 days of your initial purchase
• Refunds are processed to the original payment method within 5-10 business days
• After 30 days, subscriptions are non-refundable

5. License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to:

• Install and use the Software on devices you own or control
• Use the Software for personal or commercial purposes

You may NOT:

• Share, distribute, or sublicense the Software or your license key
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices
• Use the Software to develop competing products

6. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your license key
• All activities that occur under your account
• Ensuring your contact information is accurate and up-to-date
• Complying with all applicable laws when using the Service

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. The Software stores task data locally on your device. License validation requires periodic communication with our servers.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may terminate or suspend your access to the Service at any time for violation of these Terms. Upon termination:

• Your license to use the Software terminates immediately
• You must cease all use and destroy any copies of the Software
• No refund is provided for termination due to Terms violations

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of new Terms.
